1. Scope of Services

Vings provides professional software solutions and related services, including but not limited to:

  • Training services for effective product usage

  • Deployment services across single or multiple locations

  • Software assurance services, including updates and upgrades

  • Data migration from existing systems or third-party products

  • Integration with other software applications and devices

  • Product functionality extensions to meet specific business needs

  • Customization, synchronization, and data transformation services

  • Invoice and Purchase Order (PO) customization and document modifications

  • Custom control and constraint development

  • Annual Maintenance Contracts (AMC) for ongoing support and reliability

The exact scope of services will be defined in the proposal, quotation, or agreement shared with the customer.

2. Software License and Usage

  • The Vings application is licensed, not sold.

  • The license is granted only for the agreed number of users, locations, or systems.

  • Unauthorized copying, distribution, reverse engineering, or resale of the software is strictly prohibited.

3. Installation and Deployment

  • Installation will be carried out after confirmation of payment, system readiness, and client approval.

  • Any delay caused due to incomplete information, infrastructure issues, or third-party dependencies shall not be the responsibility of Vings.

  • Once the software is installed and activated, it is deemed delivered and accepted.

4. Customization and Change Requests

  • Customizations and enhancements are carried out based on written requirements approved by the client.

  • Any changes requested after approval may be treated as additional work and charged separately.

  • Timelines may vary depending on complexity and scope.

5. Data Responsibility

  • Clients are responsible for the accuracy, legality, and completeness of the data provided.

  • Vings is not liable for data loss caused by incorrect input, third-party systems, hardware failure, or client-side actions.

  • Clients are advised to maintain regular backups.

6. Payment Terms

  • Payments must be made as per the agreed quotation or invoice.

  • Taxes, if applicable, shall be charged as per government regulations.

  • Delayed payments may result in suspension of services or support.

7. Refund and Cancellation Policy

  • All payments made towards software license, installation, deployment, customization, or services are non-refundable after installation.

  • Once the software is installed or services are initiated, no refund, cancellation, or reversal is permitted under any circumstances.

  • This includes dissatisfaction due to change of mind, business closure, or non-usage after installation.

Before Installation

  • Cancellation requests received before installation may be considered at the sole discretion of Vings.

  • Any administrative, consultation, or setup costs already incurred may be deducted.

8. Annual Maintenance Contract (AMC)

  • AMC covers support, bug fixes, and updates as per the agreed terms.

  • AMC does not include new features, major enhancements, or third-party integrations unless explicitly mentioned.

  • AMC fees are non-refundable once the contract period begins.

9. Limitation of Liability

  • Vings shall not be liable for indirect, incidental, or consequential damages, including loss of business, data, or profits.

  • Liability, if any, shall be limited to the amount paid for the specific service during the applicable period.

10. Termination

  • Vings reserves the right to terminate services in case of violation of terms, misuse of software, or non-payment.

  • Termination does not entitle the customer to any refund.

11. Governing Law

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

  • Subject to Bangalore Jurisdiction Only.

12. Changes to Terms

Vings reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of the software or services constitutes acceptance of the updated terms.
